The Mutatis Form NDA is intended to be the industry-embraced model non-disclosure agreement to be used in the context of private target M&A transactions.

The Mutatis Form NDA was prepared by a group of M&A lawyers, with experience at the country’s top law firms and in general counsel office positions at the country’s leading private equity firms. The Mutatis Form NDA is intended to (a) make transactions more efficient and less costly, (b) reduce the burden on sellers, strategic acquirers, private equity firms, law firms and advisors with respect to preparing and negotiating non-disclosure agreements and (c) reflect and establish norms for non-disclosure agreements, in each case in the context of private target M&A transactions.
